1. Introduction
By using, or registering as a user of, Socilyzer you are agreeing to be bound by the following terms and conditions and accepting our Privacy Policy.
On the right you will find a short summary of the terms - the summary itself is is not legally binding.
Socilyzer reserves the right to update and change terms of service without notice. Any new feature to Socilyzer's web application and online services shall be subject to “Terms of Service” and “Privacy Policy” too. Continued use of the service after any such changes shall constitute your consent to such changes. Violation of any terms below may result in termination of your account.

2. Definitions
The terms “Socilyzer”, “us”, “we” and “our” all refer to the Danish company Socilyzer ApS as the owner of “http://socilyzer.com”. Socilyzer ApS is registered at the Danish Commerce and Companies Agency under registration number (CVR/SE-number): DK-33956975. The company is held by Manalytics (holding company) also registered with Danish Commerce and Companies Agency under the registration number (CVR/SE-number): DK-33952880.
“This service”, “service” and “the service” refers to the web application which is owned by us.
The terms “client”, “clients” and “you” refer to you or your company as a client or user of our services.
In short, you're the client and we are Socilyzer.
3. Services
Socilyzer offers a web application to visualize and analyze social networks in small- and medium-sized companies as well as in teams and departments.
The service consists of three fundamental components: (1) 'People' for adding people to the study and adding attributes, (2) 'Edit Survey' for you as researcher to add quantitative and qualitative questions to collect information about social and work relationships within the organization, and, finally, (3) 'Project View' is for investigating the collected data by illustrating ties and analyzing relationships on a network level, an individual level, and a group level. Data collection is only available to paying customers.
Socilyzer is a tool for you to make your own social network analysis within an organisation (also known as an 'organizational network analysis').
Templates are only guiding and do not guarantee specific findings nor provide specific solutions – and they should solely be considered as inspiration for your own study.
In short, Socilyzer is a web based tool for organizational network analysis. The guides and templates provided might not be useful to you or provide the desired results.
4. Account Terms
You must be human to use this service – accounts held by “bots” or other automated services are not permitted. When registering you must provide all information required, such as full name and valid email address.
The account, and login, can only be used by one person – sharing the account, even internally in the company, is not permitted. Within the organization you, the company, can have as many separate accounts as you like.
You are solely accountable for the security of your account and password. Socilyzer will not be liable for any loss or damage from your failure to keep these safe.
You may not use the service for any illegal or unauthorized purpose – including, but not limited to, copyright laws. In using our service you must not violate any laws in your jurisdiction.
Upgrading/downgrading or discontinuing your account may cause loss of content, features, or capacity of your account. Socilyzer does not accept any liability for such loss. If you cancel your account within the timeframe of your plan the cancellation will take effect immediately. Socilyzer has the right to terminate your account and deny you any future service including other services offered by Socilyzer. Socilyzer reserves the right to refuse service to anyone for any reason at any time.
In short, your account is for you only and you are responsible for it. You can be refused as a client.
5. Modification to the Service and Prices
Socilyzer reserves the right at any time to change or terminate the service – or any part hereof. Prices of all services are subject to change with 30 days notice – such notice will be advertised at socilyzer.com. Socilyzer shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the service.
In short, the service and prices can change. Price changes will be shown on the webpage a month in advance.
6. Cancellations
Users may unsubscribe from any free trial or paid services when they like, however already-made payments for the month will not be refunded.
7. General Conditions
Your use of the service is at your sole risk. The service is provided an “as is” and “as available” basis. Technical support is only provided to paying account holders and is only available via email.
You are not allowed to adapt, modify or hack the service, or modify another page to falsely imply it is associated with the service, Socilyzer, or any other Socilyzer services. You also agree not to reuse, copy, sell, resell or exploit any portion of the service, use of the service, or access to the service without the written permission of Socilyzer.
You accept and understand that data might be processed unencrypted and involve transmissions over various networks; and changes to conform and adapt to technical requirements of connecting networks and the service.
The look and design of the service is copyrighted according to Danish law to Socilyzer ApS and cannot be replicated, duplicated, copied or reused without our written permission.
Socilyzer does not warrant that (1) the service will meet your specific requirements, (2) the service will be uninterrupted, timely, secure, or error-free, (3) the results that may be obtained from the use of the service will be accurate or reliable, (4) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (5) any errors in the service will be corrected.
You expressly understand and agree that Socilyzer shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, resulting from: (1) the use or the inability to use the service; (2) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (3) unauthorized access to or alteration of your transmissions or data; (4) statements or conduct of any third party on the service; (5) or any other matter relating to the service.
The failure of Socilyzer to exercise or enforce any right or provision of the terms of service shall not constitute a waiver of such right or provision. ‘Terms of Service’ constitutes the entire agreement between you and Socilyzer and govern your use of the service, superceding any prior agreements between you and Socilyzer - including, but not limited to, any prior versions of ‘Terms of Service’.
In short, you are responsible for any loses yourself and technical problems with the service can happen. Some data might be transferred using unencrypted connections and/or using 3rd party services.
8. Payment
Payments are conducted with Recurly's secure system. All payments are made in either euros (EUR) or American dollars (USD) and exclusive of customs duties and other taxes apart from Danish or European VAT where applicable.
A valid credit card is required for the accounts. An upgrade from a free account to any paying plan will immediately end your free account – and you will begin paying from this day. The service is billed in advance. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. In order to treat everyone equally no exceptions will be made.
In short, you are billed in advance when you upgrade to a paying plan. Refunds and credits for unused service are not given to anyone.
9. Governing Law and Venue
This agreement is governed by the laws of Denmark. Any dispute arising out of or in connection with this agreement including any disputes regarding its existence, validity or termination, shall be settled by arbitration arranged by Danish Arbitration in accordance with the rules of the arbitration procedure adopted by Danish Arbitration and in force at the time when such proceeding are commenced.
In short, the laws of Denmark govern this agreement.
10. Liability and 3rd Party Vendors
Socilyzer will always strive for 100% uptime, but we will not be liable for any loss or damage indirect or consequential loss or damage arising from loss of data.
We use the most reliable and respected third-party webhost to ensure as little downtime and as few problems as possible. However Socilyzer cannot be held responsible for any loss of data on the website.
Socilyzer uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage and related technology required to run the service.
In short, we strive for 100% uptime, but we cannot guarantee it. We also use 3rd party vendors to run our services and handle your data.
